Jason C. Spiro

PARTNER

Jason is a founding member of Spiro Harrison & Nelson and a Managing Partner of the Firm and its Red Bank office.

Jason has significant experience representing clients in high-stakes litigation with a particular focus on fiduciary duty and shareholder disputes, intellectual property and antitrust and competition matters. He serves as litigation counsel in complex commercial trials, arbitrations, appeals, and investigations throughout the country.

Jason has specific experience representing bankruptcy trustees and litigation trusts in connection with high-value bankruptcy claims. He also represents clients before prosecutorial and regulatory bodies, including the Department of Justice, Securities and Exchange Commission, and Commodities Futures Trading Commission.

Before starting Spiro Harrison & Nelson LLC, Jason worked for some of the premier law firms in complex civil litigation, arbitration and internal investigations, including Boies, Schiller & Flexner and Clifford Chance. Jason also served as a law clerk to Chief Judge Jane A. Restani of the U.S. Court of International Trade.

Jason supports numerous community organizations in Monmouth County. He currently serves on the Board of Trustees for the Visiting Nurse Association Health Group, one of the nation’s largest nonprofit independent providers of home health, hospice and community-based care.

  • Counsel to a SaaS company in a litigation in the Western District of Washington involving claims of misappropriation of trade secrets and breach of contract.
  • Lead trial counsel to the founder and common shareholders of an education tech company in a bench trial in the Delaware Court of Chancery over a disputed merger with the company’s controlling shareholder.
  • Counsel to the founder and common and preferred shareholders of a SaaS company in a litigation in the Delaware Court of Chancery over a disputed merger with the company’s controlling shareholder.
  • Counsel to former executives and option holders of a robotics company in a litigation in the Delaware Chancery Court over the company’s termination, redemption and valuation of options under the company’s stock incentive plan.
  • Counsel to a County Clerk in a litigation in the District of New Jersey involving an emergent challenge to the constitutionality of New Jersey election laws for the 2024 Presidential primary election.
  • Counsel to a litigation trust in a litigation in the Delaware Court of Chancery involving fiduciary duty claims arising out of the bankruptcy estate of a natural gas company.
  • Counsel to a Chapter 13 bankruptcy Trustee in litigations in the Eastern District of Pennsylvania involving fiduciary duty claims arising out of the bankruptcy estate of a health care services company; litigations resulted in millions of dollars of recoveries for the estate.
  • Counsel to a securities and investment advisory firm in an ad hoc arbitration involving coverage claims against the company’s excess insurance carrier.
  • Counsel to a technology company in defense of a litigation in the District of New Jersey involving trade secret misappropriation claims.
  • Counsel to a pharmaceutical company in a litigation in the Southern District of New York involving a contractual dispute with an investment bank.
  • Counsel to an intellectual property monetization firm in a litigation in Delaware Superior Court involving a trade secret dispute with a competitor; pursued related claims in an LCIA arbitration.
  • Counsel to a commercial bank in a litigation in the Eastern District of Maryland relating to the loss of currency by an armored transportation service.
  • Counsel to a hospice industry service provider in a Texas arbitration involving tortious interference claims against a competitor.
  • Counsel to a biotechnology company in a pre-arbitration dispute with a manufacturer involving breach of contract claims.
  • Counsel to the lead investor in a restaurant group in the Bankruptcy Court for the District of New Jersey; pursued fraud claims in a related lawsuit in the Superior Court of New Jersey.
  • Counsel to an Internet networking company in a litigation in the Superior Court of Delaware involving breach of contract claims.
  • Counsel to the owner of a construction company defending against a litigation in the Superior Court of New Jersey involving fraud claims; successfully pursued related claims under the False Claims Act.
  • Trial counsel to a foot care company in a litigation in the District of New Jersey involving trademark and antitrust claims.
  • Counsel to a patent attorney in an appeal of a malpractice verdict in the Second Circuit; resulted in overturning nearly the entirety of the damages verdict.
